Please read these Terms and Conditions ("Terms") carefully before using our IT services. These Terms govern your access to and use of the services provided by Prime Services, referred to as "we," "us," or "our."


1. Acceptance of Terms

By accessing or using our IT services, you agree to be bound by these Terms. If you do not agree with any part of the terms, you may not use our services.


2. Services Offered

We provide various IT services including but not limited to:

  • Software development

  • Website design and hosting

  • Network setup and maintenance

  • Data backup and recovery

  • IT consulting and support

The exact scope of services will be defined in a separate service agreement or project contract.


3. Client Responsibilities

Clients agree to:

  • Provide accurate and complete information required for service delivery

  • Ensure timely access to systems, staff, and resources as needed

  • Make timely payments for services rendered

  • Maintain regular backups unless otherwise contracted


4. Payment Terms

  • Fees are specified in the service agreement or quotation.

  • Invoices are payable within [e.g., 15] days of receipt.

  • Late payments may incur a [e.g., 2%] monthly interest.

  • We reserve the right to suspend or terminate services for non-payment.


5. Intellectual Property

  • All intellectual property developed by us remains our property until full payment is made.

6. Confidentiality

We agree to maintain the confidentiality of all client information and data. Clients also agree not to disclose any proprietary information, business practices, or processes of Prime Services.


7. Limitation of Liability

We will not be held liable for:

  • Any indirect, incidental, or consequential damages

  • Loss of data or business interruption

  • Issues caused by third-party services or software

Our total liability under any circumstance shall not exceed the total fees paid by the client for the specific project or service.


8. Termination

Either party may terminate services with [e.g., 15] days' written notice. Upon termination:

  • Outstanding fees are immediately due

  • Any remaining work will be billed proportionally

  • Access to deliverables may be restricted until full payment


9. Service Support and Maintenance

Support terms (response time, coverage, etc.) will be outlined in a separate Service Level Agreement (SLA), if applicable.


10. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of Pakistan.


11. Changes to Terms

We reserve the right to update these Terms at any time. Continued use of our services following such changes constitutes your acceptance of the new terms.
